1. Acceptance of Terms
By accessing or using Musicale™ (“Musicale,” “we,” “us,” or “our”), including our website, applications, and services (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
2. Description of the Service
Musicale is a live music discovery platform that helps you find events, venues, and musicians near you. The Service may include:
- Browsing and searching live music events, venues, and artist profiles
- Location-based discovery (e.g., by distance, city, or region) and map features
- Favorites and saved lists (musicians, venues, events)
- User accounts for musicians and venues to create and manage profiles, events, and venue listings
- Sponsored or third-party event content (e.g., from ticket or event partners), which may include links to external sites for tickets or more information
- Subscription or paid features as described on the Service
We do not guarantee the availability, accuracy, or completeness of any event, venue, or artist information provided on the Service. Event dates, times, and ticket availability are subject to change. Sponsored or third-party content is provided for convenience; we are not responsible for external sites or transactions.
3. Account Registration and Security
You may need to register for an account to use certain features (e.g., saving favorites, creating musician or venue profiles, managing events). You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account. You must notify us promptly of any unauthorized use.
4. User Conduct and Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:
- Violate any applicable law or regulation
- Infringe any third party’s rights (including intellectual property, privacy, or publicity)
- Post false, misleading, or defamatory content about events, venues, or artists
- Impersonate any person or entity or misrepresent your affiliation
- Scrape, harvest, or use automated means to access the Service without our permission
- Introduce malware, interfere with the Service, or attempt to gain unauthorized access to our or others’ systems or data
- Use the Service to send spam or unsolicited communications
We may remove content, suspend accounts, or take other action we reasonably deem necessary to enforce these Terms or protect the Service and its users.
5. Content and Intellectual Property
Our content. The Service and its design, text, graphics, logos, and other materials are owned or licensed by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.
Your content. You retain ownership of content you submit (e.g., artist bios, venue descriptions, event details, images). By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with the Service. You represent that you have the rights to grant this license and that your content does not violate these Terms or any third party’s rights.
Third-party content. The Service may include content from partners (e.g., event or ticket providers). Such content is subject to the respective partner’s terms and policies. We do not endorse and are not responsible for third-party content or external links.
6. Location and Privacy
To provide location-based features (e.g., “events near you,” distance filters), we may collect or use your location, including via browser geolocation or city/ZIP lookup. Our use of location and other personal data is described in our Privacy Policy. By using location-based features, you consent to such collection and use in accordance with our Privacy Policy.
7. Third-Party Services and Links
The Service may display events, links, or offers from third parties (e.g., ticket sellers). We do not control and are not responsible for third-party sites, services, or transactions. Your use of third-party services is at your own risk and subject to their terms and policies. We do not guarantee the availability or accuracy of ticket or event information from partners.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. EVENT, VENUE, AND ARTIST INFORMATION MAY BE INCOMPLETE OR OUT OF DATE; ALWAYS VERIFY WITH THE VENUE OR TICKET SELLER BEFORE MAKING PLANS OR PURCHASES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUSICALE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Musicale and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your content or conduct, (c) your violation of these Terms, or (d) your violation of any third party’s rights.
11. Termination
We may suspend or terminate your access to the Service, with or without notice, for any reason, including breach of these Terms. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.
13. Changes to the Terms
We may modify these Terms at any time. We will post the updated Terms on the Service and update the “Last updated” date. Material changes may be communicated via the Service or by email where appropriate. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree, you must stop using the Service.
14. General
These Terms, together with our Privacy Policy and any additional terms presented for specific features, constitute the entire agreement between you and Musicale regarding the Service. Our failure to enforce any right or provision does not waive that right or provision. If any provision is found unenforceable, the remaining provisions remain in effect.
